AREAS OF PRACTICE
The firm's practice covers a broad range of business law and related matters, as more fully described below.
General Business. As counsel to a wide variety of business clients, attorneys in the firm have a broad base of experience in the formation and structuring of all types of business entities (including profit and nonprofit corporations, general and limited partnerships, joint ventures, franchises and limited liability companies and partnerships), financing of all types of business ventures, shareholder buy-sell agreements, executive compensation matters, employment and consulting agreements, restrictive covenants, and licensing and distributorship agreements.
Commercial Real Estate. The firm represents local and national real estate developers and lenders, as well as international investors. It counsels these clients regarding a wide variety of business development, lender, operational and management issues, including negotiating and documenting agreements for office, industrial, multifamily, retail, and hotel properties.
Tax. The firm assists clients in all aspects of tax planning and dispute resolution, including representing clients before the United States District Court, the United States Tax Court, the United States Court of Federal Claims, the Internal Revenue Service, the Georgia Department of Revenue, the Georgia Department of Labor and other taxing authorities in matters involving disputes and controversies over a variety of tax issues and types of taxes, including income, estate, gift, employment, withholding, unemployment, property, and sales and use taxes. The firm also represents clients in tax audits and in the drafting and negotiation of tax payment agreements, including offers in compromise.
International Law. The firm offers one principal admitted to practice in Europe and can advise US companies on many kinds of commercial transactions in Europe and also represent US clients in European courts. The expertise also includes filings with the European Trademark Office. It also counsels overseas clients on investments in US companies and offers a complete range of corporate legal services to its overseas clients, to include opening subsidiaries, mergers and acquisitions. The firm also helps overseas investors in the complete range of real estate transactions. The firm is able to advise US and international clients on tax implications on their international transactions, to assist in establishing international tax structures and to utilizing the benefits of the various Double Taxation Treaties. Our attorneys are able to communicate effectively in German, French and Spanish.
Immigration. The firms offers a broad range of business immigration consultation. We assist you and your foreign employees in your E1, E2, L and H-1B Visa applications as well as for all spouses, children and significant others. We also assist in Green Card filings, naturalization documents and offer for German nationals the process to assist with the Beibehaltungsgenehmigung and Dual Citisenship. Furthermore we provide assistance to US and other companies of their immigration needs in Germany with the proper authorities.
Commercial Litigation. The firm offers aggressive legal representation in all types of commercial litigation in state and federal (including bankruptcy) courts, at the trial and appellate levels. Our attorneys are also experienced in alternative dispute resolution.
Securities. As general counsel to publicly-held corporations, attorneys in the firm have handled all aspects of securities compliance under the Securities and Exchange Act of 1934. In addition, our attorneys have handled numerous private securities offerings of all sizes, ranging in type from real estate syndications to venture capital start-ups.
Mergers and Acquisitions. Attorneys in the firm have handled a wide variety of mergers, acquisitions and dispositions of business entities of all types and sizes, including corporations, partnerships and joint ventures, from large, publicly traded companies to small closely-held family companies. Negotiating mergers and acquisitions requires knowledge within various legal disciplines, including employee benefits, ERISA, environmental law, real estate, tax, securities, health care, antitrust, intellectual property, and estate planning. Understanding the needs of the other parties to the transaction has enabled the firm's attorneys to achieve creative successes for clients in this area.
Estate Planning. The firm provides a full range of estate planning services to clients, with particular emphasis on tax planning. In addition to drafting wills, attorneys in the firm are experienced at using life insurance, revocable and irrevocable trusts, family partnerships, powers of attorney, charitable trusts, and foundations to achieve a client's goals. The firm can also assist clients with probate and estate administration.
Bankruptcy, Workouts and Creditors' Rights. The firm has broad experience in all aspects of bankruptcy, workouts, and creditor's rights. Its members have served as counsel to secured lenders, unsecured lenders, debtors, creditors' committees, potential buyers, and trustees, and also serve as trustees in chapter 7 (liquidation) and chapter 11 (reorganization) cases. Its members regularly try matters, large and small, in bankruptcy court.
